Non-Disclosure Agreement (NDA)

As a member of Civic Tech Moncton, you may have access to sensitive or proprietary information related to the organization’s projects, partner organizations, and community members. To ensure the trust and integrity of our work, members agree to the following:

  • Confidentiality:
    • Members must keep all non-public information obtained through their participation in Civic Tech Moncton confidential.
    • This includes, but is not limited to, project details, data from community partners, and personal information of other members.
  • Use of Information:
    • Confidential information may only be used for purposes directly related to Civic Tech Moncton’s projects and activities.
    • Members are prohibited from using such information for personal, commercial, or other unauthorized purposes.
  • Non-Disclosure Obligations:
    • Members agree not to disclose confidential information to third parties without prior written consent from Civic Tech Moncton or the relevant stakeholders.
  • Exclusions:
    • This agreement does not apply to publicly available information, was known to the member before joining Civic Tech Moncton, or is independently developed without the use of confidential information.
  • Duration:
    • This non-disclosure obligation remains in effect indefinitely, even after membership status is changed to inactive or terminated.
  • Intellectual Property:
    • Civic Tech Moncton is a non-profit organization dedicated to leveraging technology to improve people’s lives in our community. Our projects are created collaboratively by volunteers and designed to support other non-profits, civic organizations, and the broader community.
    • To ensure that the work we produce remains accessible and continues to benefit the community, we require that all technology created, used, designed, or implemented as part of Civic Tech Moncton projects becomes the organization’s intellectual property. This approach ensures:
      • Community Ownership: We create solutions for the public good and remain available to support community initiatives
      • Collaboration and Transparency: Volunteers and partners can build upon past work without concerns about ownership conflicts.
      • Sustainability: The intellectual property remains with Civic Tech Moncton, allowing the organization to maintain and evolve these solutions over time.
  • Acknowledgment:
    • By signing this agreement, members acknowledge their understanding of and compliance with this Non-Disclosure Clause as part of Civic Tech Moncton’s membership terms.
    • This policy reflects our commitment to open, collaborative innovation that prioritizes the well-being of our community above individual interests.
      • Permission for Use:
        • Members or external parties wishing to use, adapt, or distribute any work created within Civic Tech Moncton projects must obtain written permission from Civic Tech Moncton.
        • Requests should outline the intended use of the work and demonstrate how it aligns with Civic Tech Moncton’s mission and values.
        • Permission may be granted for uses that benefit the community, promote civic engagement, or enhance open-source collaboration, subject to Civic Tech Moncton leadership review.
      • Prohibited Uses:
        • Work created under Civic Tech Moncton cannot be used for personal gain, commercial purposes, or any activity that conflicts with the organization’s mission without written approval.
      • Acknowledgment:
        • By signing the membership agreement, members acknowledge that their contributions become part of Civic Tech Moncton’s collective work and agree to abide by this Intellectual Property Clause.
